What we do

FTC Corporate & Tax Advisory Pte Ltd, established 1984, is a boutique firm of accredited tax advisors and corporate advisory specialists. The directors include an accredited tax advisor with a Master of Law (Queensland), a practising lawyer who is a senior partner of a commercial law firm and a director (advisory) who is an accredited tax practitioner.

We worked for multinational corporations and Singapore companies with businesses in Singapore and in the region. Our first client, when we started in 1984, is a multinational EU group of over 35 companies, and is still a client today. Our clients are Singapore subsidiaries of listed and unlisted corporations in New York, Florida, Paris, London, Milan, Delhi, Germany, U S A and China. We continue to provide specialised corporate advisory services including completing the merger of two international companies under s.215A of the Singapore Companies Act, in 2010. We made an application in 2008 under section 78A of the Singapore Companies Act to enable a client to reduce its share capital. We made a similar application for another client in 2011.

On tax advisory services, we specialise on tax appeals and obtaining tax rulings on difficult tax issues. Our tax team comprises of Frankie L C Tan who holds a Master of Law (Queensland) and is an Accredited Tax Advisor (income tax and GST), and teams of tax managers each specialising in GST tax issues and compliance, expatriates income tax issues and compliance, corporate income tax appeals and rulings, and corporate income tax computations and compliance.

Frankie Tan is a Fellow of the Institute of Chartered Accountants in England and Wales and an associate member of the Singapore Academy of Law. He has appeared as an accounting expert witness before the Singapore High Court (Merteks Pte Ltd v Straits Engineering Contracting Pte Ltd – [1995] SGHC 28; [1996] 1 SLR 227). He has also conducted an investigation into the affairs of a shipping group which was being wound up on a Court Order under the Singapore Companies Act, in 1980.

FTC has represented clients to obtain tax rulings on the carrying forward of unutilised tax losses and unused capital allowances against future years’ taxable income; the taxation of gains on employees’ share options; the liability to register for GST by foreign contractors; the application of GST and the taxation of specialised industries, the taxation of foreign income; and the tax liabilities of foreign permanent establishments in Singapore.
